In 2018, Wyoming enacted HB 101, which “authoriz corporations to use electronic networks or databases for the creation or maintenance of corporate records.” In 2019, Wyoming adopted two bills relating to blockchain technology. HB 1 “created the blockchain task force.” HB 70 “authoriz the secretary of state to develop and implement a blockchain filing system.” In 2020, Wyoming enacted two more bills relating to blockchain technology. HB 27 “creat the select committee on blockchain, financial technology and digital innovation technology.” SB 72 appoints “executive branch liaisons” to “Develop and introduce legislation as necessary to promote blockchain, financial technology and digital innovation in Wyoming.” On March 9, 2022, Governor Mark Gordon signed into law SF 68, which “amend statutory provisions regulating decentralized autonomous organizations,” “amend definitions,” “amend the obligations of members and dissociated members,” and “amend factors for dissolution of a decentralized autonomous organization.”
The case has significant implications for the DeFi industry’s future in the United States. According to the IRS’s calculations, compliance with the regulations would cost the industry over $260 billion annually — a potentially existential burden for many DeFi projects. The plaintiffs argue this would force US-based DeFi participants to either relocate overseas, cease operations or fundamentally alter their business models in ways that undermine decentralization.
In granting Coinbase’s motion to certify for interlocutory appeal, the court found that the case presents a «controlling question of law regarding the reach and application of Howey to cryptoassets, about which there is substantial ground for difference of opinion.»14 In particular, the court emphasized that applying Howey to cryptocurrencies «is itself a difficult legal issue of first impression for the Second Circuit» and questioned the adequacy of the SEC’s application of Howey to secondary market sales.15
California’s legislature is currently considering a few relevant bills. AB 2269 (passed by the Assembly on May 12, 2022) would “prohibit a person from engaging in digital financial asset business activity” unless “the person is licensed or registered with the Department of Financial Protection and Innovation.” AB 2689 allows private and public entities to accept virtual currency as a method of payment. SB 1275 could similarly allow state agencies to accept cryptocurrency as payment.
The IRS sees cryptocurrencies as property for taxes and asks for full reports of all transactions. People who own digital assets need to keep careful records of what they buy, sell, and trade. These records should include the fair market value of assets at each transaction.
